Terms and Conditions of Use

Marketplace Ecosystem:Beyobo.ai operates as a cross-border B2C business-to-consumer technology platform and online marketplace intermediary. The Platform allows global sellers/manufacturers ("Global Vendors") to upload, push, display, and showcase their product catalogs, and allows buyers located in India ("Buyers") to view, search, request, and order these products.

Intermediary Safe Harbor: Beyobo acts strictly as an intermediary facilitator under Section 79 of the Indian Information Technology Act, 2000. Beyobo does not manufacture, own, stock, sell, or inventory any products listed on the Platform.

No Endorsement: The publication of any catalog, product description, specifications, or images on the Platform by an AI-curated system or via a Global Vendor does not constitute an endorsement, warranty, or representation by Beyobo regarding the quality, safety, legality, merchantability, or fitness for purpose of the items.

Age Requirement: To register for an account or make transactions on the Platform, you must be at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872.

Account Security: Users are entirely responsible for maintaining the confidentiality of their account credentials (username and password) and for all activities occurring under their account. You agree to notify Beyobo immediately of any unauthorized access or security breach.

Product Requests:A Buyer may browse the Platform and initiate a "Product Request" or place an order. A Product Request constitutes an "Offer to Purchase" by the Buyer and does not establish a finalized contract of sale.

Acceptance of Order:A contract of sale is only formed when Beyobo coordinates with the respective Global Vendor, verifies product availability, cross-border shipping feasibility, regulatory clearance compliance, and issues an explicit "Order Confirmation" and formal invoice to the Buyer.

Pricing Fluctuations: All prices displayed on the Platform are subject to AI catalog updates, currency exchange volatility, international freight adjustments, and preliminary customs duty estimates. Beyobo reserves the absolute right to cancel an order or adjust pricing prior to Order Confirmation if significant external cost shifts occur.

Platform AI Glitches: In the event that a system bug, AI catalog processing error, or synchronization failure causes a product to be listed at an incorrect price or with erroneous specifications, Beyobo reserves the right to cancel any affected orders, initiate a full refund to the Buyer, and void all liabilities related to the error.

Coordination Role: Beyobo manages the end-to-end operational cycle between the Global Vendor and the local Indian Buyer, including international freight tracking, coordination with custom house agents (CHAs), and domestic last-mile delivery.

Importer of Record / Authorizations: For cross-border consumer transactions, goods are imported into India. The Buyer hereby authorizes Beyobo and its designated logistics/freight partners to act as its authorized clearing agents to manage customs documentation, declarations, and clearance procedures.

Mandatory KYC Compliance: In strict accordance with the rules laid down by the Central Board of Indirect Taxes and Customs (CBIC) in India, Buyers are legally mandated to submit accurate and valid Know Your Customer (KYC) documents (such as Aadhaar Card, Passport, Voter ID, or PAN card) matching the delivery name.

Estimated Delivery Timelines: All delivery windows communicated on the Platform are reasonable estimates and are not guaranteed. Cross-border logistics involve multiple external entities, including international airlines, cargo ships, customs checkpoints, and local couriers.

Force Majeure: Beyobo shall not be liable or held responsible for any failure, delay, or disruption in fulfillment resulting from a Force Majeure event. This includes, but is not limited to: acts of God, war, geopolitical hostilities, port strikes, customs clearance backlogs, changes in import/export policies or tariffs, pandemics, extreme weather conditions, or global supply chain shocks.

Vendor Warranty: Global Vendors are solely responsible for ensuring that their products comply with all technical specifications, environmental regulations, safety standards, and intellectual property rights applicable in India.

Vendor Indemnity: Global Vendors explicitly agree to defend, indemnify, and hold harmless Beyobo, its parent company Enso Logic Commerce Pvt. Ltd., its directors, officers, employees, and agents from any third-party claims, liabilities, losses, damages, or regulatory fines arising out of product defects, intellectual property infringement (counterfeits), or product liability claims.

Mandatory Unboxing Video Requirement: To protect the Platform against fraudulent claims, the Buyer MUST record a continuous, uncut, unedited clear unboxing video from the moment the courier package seal is broken until the product is fully extracted and inspected.

Rejection of Claims: If the Buyer fails to provide a verifiable unboxing video showing the damage or discrepancy clearly within 48 hours of delivery, the claim will be rejected automatically without further investigation.

Refund Processing: Approved refunds will be processed back to the original payment source or via bank transfer within 7-10 business days after validation by our dispute team.

Platform Property: All platform infrastructure, user interface designs, logos, software, text, graphics, and the proprietary AI mechanisms powering Beyobo.ai are the exclusive intellectual property of Enso Logic Commerce Pvt. Ltd.

Catalog Content: Global Vendors grant Beyobo a worldwide, royalty-free, perpetual license to host, display, use, translate, and reformat their product catalogs and media for marketing and operational purposes on the Platform.

Exclusion of Consequential Damages: To the maximum extent permitted by applicable law, Beyobo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or commercial disruptions arising out of or related to the use or inability to use the Platform.

Liability Cap: The maximum aggregate liability of Beyobo/Enso Logic Commerce Pvt. Ltd. for any single claim or series of related claims arising under these Terms shall be strictly capped at the total amount paid by the Buyer for the specific order under dispute, or the service fee retained by Beyobo for that specific transaction, whichever is lower.

Governing Law: This Agreement, and all transactions executed through the Platform, shall be governed by, interpreted, and construed exclusively in accordance with the laws of the Republic of India.

Jurisdiction: Any dispute, controversy, or claim arising out of or relating to these Terms, including their validity, invalidity, breach, or termination, shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India.
